THE REAL ESTATE OFFER BECOMES THE CONTRACT

A real estate purchase and sales transaction, even for residential real estate, must be in writing to be enforceable. The contract itself is just the signed offer of the buyer accepted by the seller’s signature. The contract should name the buyer and the seller as well as specifically identify the real property and provide the sales price.

There are two form contracts that are typically used for Florida real estate. The first is the FAR/BAR contract created by the Florida Bar and the Florida Association of Realtors. The other is FAR contract created by the Florida Association of Realtors alone.

Even if these contracts are represented to you as “standard” or “form contracts,” any provision in them is negotiable so you should negotiate every aspect of the transaction that is important to you. Also be aware that there are blanks to be filled in on these contracts or default language if they are not filled in that you should review and consider as to the effect they may have on you.

Be careful to review every word of these form contracts as there is the possibility that what was presented to you was recreated with non-standard and different terms and clauses. One way to ensure your legal rights are protected is to add to the real estate contract "subject to attorney review."

Your real estate contract binds the parties so while real estate attorney review is important at the outset, it continues to be important during the real estate transaction including the day of your title closing.

Only your real estate attorney is permitted, and obligated, to represent your legal interests in the sale or purchase of your real estate. Your real estate agent may be concerned over certain issues but almost certainly wants to see the real estate deal close anyway to collect the real estate commission.

The title company may be recommended by the real estate agent so they will likely want the same result to make sure they are referred future work. Increasingly, title companies are affiliated with real estate brokers recommending their services which can further reduce their objectivity. In any case, neither the title company nor the real estate agents are your legal representative.
